Expertise 

Elaine is a business and securities lawyer who brings two decades of experience working with and guiding a wide variety of clients in all stages of development.  She counsels clients from formation matters to raising start-up capital, follow-on fund raising, public company listing, strategic planning, buy and sell-side mergers and acquisitions, joint ventures, restructuring, recapitalizations, and divestitures.  She advises clients in a variety of business matters and transactions, including partnership and LLC agreements, shareholder agreements, board of director and shareholder issues, governance and compliance issues, commercial transactions, contract drafting and negotiation, and serving as outside general counsel on day-to-day problem solving.

Elaine enjoys understanding her clients’ businesses and objectives to help them make the best decisions from both a busines and legal perspective.  Through partnering with her clients, Elaine identifies and analyzes key issues, provides guidance to her clients, and works with them to advance their overall goals.  While every business experiences challenges, Elaine’s goal is to work with clients to progress to an appropriate solution. 

Experience

 
Elaine has spent the last 20 years practicing law in Houston, Texas at two large law firms.  She has worked with both private and public companies in an array of industries (from healthcare to energy, venture capital, life sciences, banking, manufacturing, and entertainment); but also, in many respects, she has represented companies that require thinking outside the box, nimble and innovative solutions.  Elaine’s experience allows her to bring practical, tailored and results-oriented advice to the client and the situation. 

She brings that experience to the business side of the ever-evolving world of healthcare.  She has counseled physician practice groups, medical device companies, hospitals, free standing emergency clinics, and other health care related businesses in business and transactional matters.

Elaine graduated magna cum laude with a Bachelor of Arts degree from the University of St. Thomas, Houston, Texas, in 1995 with honors in Music, History, Philosophy and English.  Elaine graduated cum laude with a juris doctorate from the University of Houston Law Center in 2000..

Elaine enjoys cooking and exploring different cuisines, listening to music and spending time with her husband, son, friends and two dogs.
